Basic approach to corporate governance

From the perspective of employment of human resources and under the corporate philosophy of "Good jobs and good lives," we will create both social and economic value by promoting businesses centered on the mobility of high-quality human resources with the aim of achieving a society where working people find joy in their jobs and in their lives. With this in mind, our basic policy on corporate governance is to respect the position of each individual, increase management transparency, expedite decision-making processes, and strengthen supervisory functions while also maximizing corporate value with proper corporate governance.

Disclosure Policy

1.Disclosure Policy

  1. We disclose information in accordance with the Financial Instruments and Exchange Act and the Timely Disclosure of Company Information, etc. of the Securities Listing Regulations of the Tokyo Stock Exchange (hereinafter, the "Timely Disclosure Rules").
  2. We also have a policy to disclose information that is not subject to the Timely Disclosure Rules as proactively and fairly as possible through appropriate methods to meet investor demand.

2. Method of information disclosure

Information that is subject to the Timely Disclosure Rules is disclosed on the information disclosure system provided by each stock exchange (TDnet). The information disclosed on TDnet is posted on our website in accordance with the Timely Disclosure Rules. It may be posted to our website later than on TDnet due to the need to prepare PDF files and other tool-related concerns. When disclosing information not subject to the Timely Disclosure Rules, we take care to ensure that it is communicated to general investors as accurately and fairly as possible through an appropriate method based on the purpose of timely disclosure. 

When you check our disclosed information, in addition to our website, we also recommend checking the disclosure materials and other information posted on the Tokyo Stock Exchange website.

3. Financial result forecasts

We may provide information on the future outlook in addition to financial result forecasts contained in the summary of financial results. In addition, future outlooks and opinions may be included in media, financial results briefings, materials, or Q&A sessions. In those cases, information that does not constitute a historical fact is based on our judgment made under certain assumptions at the time of preparation. Given this, forward-looking information is subject to change without notice as assumptions change, and it is inadvisable to rely solely on those outlooks. 

Actual results may also differ materially from those outlooks due to a variety of factors.

4. Internal information management

We have established regulations regarding restrictions on insider trading in order to establish operational guidelines on standards for disclosure of material facts and management of internal information. We are also focusing on education for executives and employees in order to ensure operations for the management of insider information.

5. Quiet period

The United States has a custom in which companies have a quiet period immediately prior to the announcement of financial results. During this time, they refrain from making any comments on financial results so as to prevent any information that could affect the stock price from leaking while materials for the announcement of financial results are being prepared. Instead of observing a quiet period, we disclose any discrepancies between the initial forecast and the expected results in the financial result information as appropriate in accordance with the Timely Disclosure Rules, and we refrain from commenting or replying if not applicable.
